Draft for lawyer review

This page was written from the product code on October 28, 2026. It is not legal advice and it is not a final policy. A lawyer should review it before you rely on it. The postal address is a placeholder. Do not treat the Delaware entity details as re-verified.

The short version: team plans renew until you cancel, and you keep access through the period you already paid. Rep Starter, when that plan is offered, is different: cancelling it ends access immediately and refunds the last paid Rep Starter invoice. A self-serve trial is 14 days, 30 practice minutes, and one hour of call review, with no card and no automatic charge.

1. Acceptance and eligibility

These Terms of Service (the "Terms") are a binding agreement between you and Myelin AI Inc., a Delaware corporation ("Myelin", "we", "us"). They govern your use of the Myelin AI platform at vmyelin.ai and app.vmyelin.ai, our APIs, and related services (together, the "Service"). By creating an account, accepting a team invitation, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

The Service is for business use by people 18 or older. If you accept these Terms on behalf of a company or team, you represent that you have authority to bind that organization, and "you" includes it.

These Terms replace every earlier version. Our Privacy Policy explains how we handle personal data and is part of these Terms.

2. The Service

Myelin is an AI sales-training platform. Reps practice live voice roleplays against AI prospects and receive scored feedback. Teams upload or automatically ingest real sales calls for transcription and analysis, discover what their best calls have in common, and turn lost calls into targeted practice.

We improve the Service continuously and may add, change, or retire features. Features labeled beta, preview, or coming soon are provided as is, may change or disappear without notice, and are not covered by any commitment in these Terms.

3. Accounts

You must give accurate information when you sign up and keep it current. Each account is for one named person. Do not share credentials or let anyone else use your account.

You are responsible for everything that happens under your account. Tell us right away at jonathan@vmyelin.ai if you suspect unauthorized access.

4. Organizations, roles, and seats

An organization ("team") is created by an Owner and can include Managers and Reps. Owners control billing and may invite, remove, and change the role of members. Managers can run the team (invites, coaching, goals, integrations) but cannot change billing. Reps use the Service for their own practice.

A seat is one named member. Owners are responsible for the members they invite, the roles they assign, and how each seat is billed. When an Owner invites a member on an owner-paid seat, the Owner is the customer for that seat and it counts toward the team's subscription quantity.

An Owner may instead invite a member as self-paid. A self-paid member completes their own checkout and is the customer for their own subscription. That subscription is theirs to manage and cancel from the Billing page, it is not covered by the team's subscription, and the Owner is not charged for it. Joining a team does not cancel a subscription you already pay for yourself; if you want it cancelled, cancel it.

Removing a member frees their seat for reuse in the current period. It does not by itself reduce the team's subscription quantity or trigger a refund. Owners can reduce seats from Billing; changes take effect according to Section 6.

5. Plans, trials, and usage

Paid plans are described on our pricing page. Each plan includes a monthly allowance of practice minutes and real-call review hours per seat. For teams, minutes and review hours are pooled across all owner-paid seats. Unused practice minutes roll over into the next month, up to one additional month's allowance. Review hours do not roll over.

Additional minute packs are one-time purchases, are consumed after included and rolled-over minutes, and are non-refundable.

A new self-serve account can receive a free trial of 14 days, 30 practice minutes in total, and one hour of real-call review. The trial does not ask for a card, ends on its own, and does not convert to a paid plan. Invite-only trials can be minutes without a fixed end date. We may change or withdraw trials for new signups.

Allowances are for the ordinary use of the Service by the people on your team. We may throttle or suspend automated, scripted, shared, or resold use that is inconsistent with a per-seat plan.

6. Fees, billing, and renewal

Fees are stated in U.S. dollars and are billed in advance for each monthly or annual period. The price shown in the product is not a statement that tax is included. Stripe Tax is not enabled in the application. You are responsible for taxes that apply. Payments are processed by Stripe. Checkout collects a phone number and a billing address. We do not store card numbers. By subscribing you authorize us to charge your payment method for the plan you chose, for seat changes you make, and for each renewal until you cancel.

Subscriptions renew automatically for the same period unless cancelled before the renewal date. The renewal price is the price of the plan you are on. For team plans and for Rep Pro, cancel from Billing, then Manage billing, which opens the Stripe customer portal. Seat and plan changes take effect immediately and are prorated: additions and upgrades are invoiced for the rest of the period, reductions and downgrades are credited toward later invoices. Those credits are not paid out as cash. The Rep Starter refund in Section 7 is the exception.

You are responsible for keeping your payment method current and for any taxes that apply. If a payment fails we will retry it and email you. If it stays unpaid we may suspend the Service, and after a reasonable grace period cancel the subscription and any unpaid balance remains due.

We may change prices with at least 30 days' notice by email or in the Service. Changes apply from your next renewal. If you do not accept a change, cancel before it takes effect.

7. Cancellation and refunds

You may cancel a team plan (Starter, Pro, or Elite) or Rep Pro at any time from Billing, then Manage billing, or by emailing jonathan@vmyelin.ai. That cancellation takes effect at the end of the current billing period, and you keep access until then.

Rep Starter is different. It is the $5 per month plan, offered only when that plan is turned on, and it does not auto-upgrade. If you cancel Rep Starter, access ends immediately and we refund the last paid Rep Starter invoice in full. When that invoice is the ordinary monthly charge, the refund is $5, plus any tax Stripe collected on that invoice. If the last paid invoice is a different amount, the refund is that invoice, not a flat $5. The refund runs only when the subscription is on the configured Rep Starter price. It does not apply to team plans, to Rep Pro, or to a price we cannot map.

Fees pay for access to the Service, not for how much of it you use. Except for the Rep Starter refund above, or where the law says otherwise, fees are non-refundable: we do not refund partial periods, unused minutes or review hours, unused seats, forgotten subscriptions, or periods in which you did not log in. Not using the Service is not a cancellation.

Each customer is responsible for the subscriptions under their own account, including a self-paid seat on someone else's team. We do not refund one customer's subscription because another person or team later said they would pay for them.

We may, at our sole discretion, offer a refund or credit as a goodwill gesture. Doing so once does not create a right to another. If you dispute a charge with your card issuer instead of contacting us first, we may suspend your account while the chargeback is resolved.

8. Billing disputes

Review your invoices and card statements when you receive them. If you believe a charge is wrong, email jonathan@vmyelin.ai within 60 days of the charge date with the amount and the reason. We will investigate in good faith and correct genuine billing errors. A charge not disputed within 60 days is accepted and final, except where the law requires otherwise.

9. Acceptable use

You agree not to:

  • Upload, ingest, or connect call recordings without the consent required from every participant under the laws that apply to the call.
  • Use the Service for any unlawful, fraudulent, deceptive, or harmful purpose, or to harass or discriminate against anyone.
  • Reverse-engineer, scrape, probe, overload, or interfere with the Service, or bypass usage limits, seat limits, or access controls.
  • Resell, sublicense, or share access, or use one seat for several people.
  • Use output from the Service to build or train a competing product.
  • Upload content that infringes anyone's rights or that is defamatory, obscene, or malicious.

We may suspend or terminate accounts that break these rules, and we may remove content that violates them.

10. Your content and call recordings

You own the recordings, transcripts, scenarios, and other material you and your team put into the Service ("Customer Content"). You grant us a worldwide, non-exclusive license to host, process, transcribe, analyze, and display Customer Content solely to provide, secure, support, and improve the Service for you.

You are responsible for Customer Content. You represent that you have every right and consent needed to record the calls you upload or connect and to share them with us, including consent from the other people on the call where the law requires it. Recording laws differ by state and country, and compliance is yours, not ours.

We do not sell Customer Content and we do not use it to train a model that we offer to other customers. We send content to OpenAI and AssemblyAI through their APIs. The application does not set a zero-retention flag. Whether a vendor keeps data for abuse monitoring is that vendor's policy. Within a team, Owners and Managers can see members' sessions, calls, and scores.

Practice sessions produce recordings and transcripts of your own voice, which we store so you can review your feedback. You can delete a session or a call from the Service at any time.

11. AI-generated content

The Service uses artificial intelligence to play prospects, score calls, generate feedback, discover patterns, and write scenarios. AI output can be wrong, incomplete, or inconsistent, and it reflects the content you provide. It is training material, not professional, legal, or financial advice, and it does not guarantee any sales result. Use your own judgment before acting on it.

AI prospects are simulations. Names, companies, and situations in generated scenarios are fictional unless you supply them.

12. Integrations and third-party services

The Service can connect to third-party tools such as Zoom, Slack, HubSpot, Fathom, and Fireflies, accept calls through our ingest API, and send outbound webhooks to endpoints you register. Each third-party service is governed by its own terms and privacy policy, and you are responsible for your account with it and for having the right to connect it.

You are responsible for the endpoints, API keys, and webhook secrets you create, and for whoever can read what we send to them. Payloads include member names, email addresses, scores, and links into the Service. Rotate a secret immediately if it may have been exposed.

We are not responsible for third-party services, their outages, or changes they make that affect an integration. We may modify or discontinue an integration if a provider changes its platform or terms.

13. Partner programs

Some users receive access through a partner (for example a sales coach or community) that bills them directly, including through platforms such as Whop. In that case the partner's pricing, billing, and refund terms govern payment, and your access to the Service depends on your standing with the partner. When a partner arrangement ends we may end or convert your access after a grace period. Everything else in these Terms still applies.

14. Intellectual property and feedback

The Service, including its software, design, prompts, scoring methods, models, documentation, and branding, is owned by Myelin and its licensors and protected by intellectual-property law. We grant you a limited, revocable, non-transferable right to use the Service under these Terms. All other rights are reserved.

If you send us ideas or feedback, we may use them without restriction or obligation to you.

15. Confidentiality

Each of us will protect the other's non-public information with at least reasonable care and use it only under these Terms. We treat Customer Content as your confidential information. This does not cover information that is public, already known, independently developed, or that must be disclosed by law, in which case the disclosing party gives notice where allowed.

16. Warranties

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, or produce any particular sales outcome.

17. Limitation of liability

To the fullest extent the law allows, Myelin will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost deals, lost data, or business interruption, however caused, even if we were told they were possible.

Our total liability for all claims arising out of or relating to these Terms or the Service is limited to the fees you paid us in the 12 months before the event giving rise to the claim. These limits do not apply where the law prohibits limiting liability.

18. Indemnification

You will defend and indemnify Myelin against third-party claims, and the resulting costs and damages, arising from your Customer Content, your recording of calls without required consent, your breach of these Terms, or your violation of law. We will notify you promptly of any such claim and cooperate reasonably.

19. Suspension and termination

We may suspend or terminate access if you breach these Terms, if a payment remains unpaid, if your use threatens the security or integrity of the Service, or if the law requires it. Where practical we will notify you and give you a chance to fix the problem first.

You may ask us to close your account by emailing jonathan@vmyelin.ai. There is no self-serve delete button. Closing an account does not refund fees already paid, except the Rep Starter refund in Section 7. There is no automatic 30-day export window and no automatic 30-day purge. Email us and we will act on a request to export or delete, except what we must keep for legal, billing, or security reasons. Sections 7, 8, 10, 14 through 18, and 21 through 23 survive termination.

20. Changes to these Terms

We may update these Terms. For material changes we will give at least 14 days' notice by email or in the Service and update the date at the top of this page. Continued use after the effective date means you accept the new Terms. If you do not, cancel before they take effect.

21. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. If you have a dispute with us, email jonathan@vmyelin.ai first; both of us will try in good faith to resolve it within 30 days before starting any proceeding. Either party may bring a qualifying claim in small claims court. Otherwise, disputes will be brought in the state or federal courts located in Delaware, and both parties consent to that venue. Each party waives any right to a jury trial or to participate in a class action to the extent the law allows.

22. General

These Terms, the Privacy Policy, and any order or plan you select are the entire agreement between us about the Service. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events outside its reasonable control. Notices to us go to jonathan@vmyelin.ai; notices to you go to the email on your account.
